如本许可证的任何规定与 CircleStone Labs Non-Commercial License v1.2、适用于 Anima 的其他强制性上游许可条款或者使用者直接从 CircleStone Labs LLC 取得并仍然有效的书面商业许可证发生不可调和的冲突，则应当仅在发生冲突所必需的最小范围内以上游许可证或者该直接商业许可证为准，本许可证的其他条款仍应继续有效；除上述无法依法施加限制的情形之外，使用者对本 LoRA 中由作者依法享有许可权的部分进行使用时仍应遵守本许可证规定的附加限制。

在使用者持续遵守本许可证、CircleStone Labs Non-Commercial License v1.2 以及其他适用上游许可证的前提下，本 LoRA 作者授予自然人使用者一项有限的、非独占的、不可转让的、不可再许可的、可撤销的个人非商业使用许可，使其可以为了个人学习、研究、测试、技术实验、私人娱乐、个人兴趣创作以及其他不具有直接或者间接商业目的的活动，在其个人控制的本地计算设备或者其他经本许可证允许的环境中下载、保存、加载和运行本 LoRA，并利用本 LoRA 生成符合本许可证规定的图片或者其他输出内容。

前款所称个人非商业使用仅限于不产生直接或者间接经济利益、不构成任何商业服务组成部分、不代表企业或者其他营利性主体执行生产任务、不用于履行有偿工作职责，并且不存在以获取金钱、财产、服务、广告收益、商业曝光、会员收入、平台分成、投资回报或者其他具有经济价值的利益为目的的使用行为。

第三条　生成内容的非商业限制

作为作者针对本 LoRA 中其依法有权许可部分所设定的附加使用条件，在适用法律及上游许可证允许作者施加该等限制的最大范围内，使用者不得将使用本 LoRA 生成、明显依赖本 LoRA 生成或者通过将本 LoRA 与其他模型共同加载后生成的任何图片、视频帧、动画素材、设计素材或者其他输出内容用于直接或者间接的商业活动、营利活动或者其他具有经济利益目的的活动。

未经作者另行明确书面授权，使用者不得出售或者授权出售上述生成内容，不得接受以本 LoRA 生成内容为主要或者实质性交付成果的付费委托，不得将有关生成内容设置于付费下载、会员订阅、赞助解锁、付费图库、商业素材库或者其他需要支付对价才能取得完整内容的渠道，不得将有关生成内容制作成为付费游戏、商业视觉小说、商业漫画、商业动画、广告、商品包装、宣传素材、付费数字内容、实体商品、数字收藏品或者其他以营利为目的的产品或者服务，不得通过广告分成、平台创作者激励、会员收入、众筹回报、销售提成或者其他直接或者间接方式利用有关生成内容取得经济利益。

个人使用者可以在不收取费用、不设置付费访问条件、不接受以相关内容为交换条件的赞助或者报酬，并且不将相关内容用于商业宣传或者其他营利活动的情况下展示或者分享符合本许可证其他规定的非商业生成内容。

如某一使用者已经直接从 CircleStone Labs LLC 获得适用于 Anima 或相关 Derivative 的独立商业许可证，并且该商业许可证根据 CircleStone Labs Non-Commercial License v1.2 明确赋予该使用者对本 LoRA 所属 Derivative 实施相应商业利用的权利，则本条不得被解释为撤销或者限制 CircleStone Labs LLC 已经直接授予该商业许可持有人的权利，本许可证其他不与该商业许可证发生冲突并且依法可以适用于本 LoRA 作者自有权利部分的规定仍然继续有效。

第四条　禁止出售、倒卖及商业再分发

除非法律、具有优先效力的上游许可证或者 CircleStone Labs LLC 直接授予有关使用者的有效书面商业许可证另有不可排除的规定，未经本 LoRA 作者事先明确书面许可，任何使用者不得出售、倒卖、出租、许可收费下载、设置付费访问、通过会员或者赞助条件提供、捆绑销售或者以其他直接或者间接取得经济利益的方式向任何第三方提供本 LoRA 的全部或者部分权重、复制文件、转换版本、量化版本、重新命名版本、重新封装版本或者其他实质上包含本 LoRA 参数信息的文件。

任何人不得通过修改文件名称、元数据、哈希信息、模型说明、封面、预览图片、文件格式或者其他非实质性内容规避本条限制，也不得以免费提供模型但通过强制会员、广告分成、付费下载权限、商业推广、捆绑收费服务或者其他具有实质经济利益的方式变相实施本条禁止的商业再分发行为。

第五条　禁止上传在线生成平台及远程托管

未经本 LoRA 作者事先明确书面许可，使用者不得将本 LoRA 上传、部署、复制或者提供至任何允许第三方通过互联网、局域网、API、远程接口、机器人程序、云端应用或者其他远程方式调用本 LoRA 的在线图片生成网站、模型托管推理服务、在线工作流、云端生成服务、付费或者免费生成平台以及其他面向第三方用户提供模型推理能力的系统。

前款规定适用于免费平台与收费平台，也适用于使用者虽然没有直接公开下载本 LoRA 权重，但通过服务器端部署、API 调用、在线工作流或者其他技术方式使第三方能够实际利用本 LoRA 完成生成任务的情形；仅为了个人非商业使用而将本 LoRA 保存在私人云端存储空间，且该存储空间不向任何第三方提供模型调用、下载或者访问能力的，不因此单独构成本条所称在线生成平台部署。

如 CircleStone Labs LLC 根据其许可证依法向特定商业许可持有人直接授予了使用相应 Derivative 的平台部署权利，则本条仅在不与该直接授权发生冲突并且作者依法仍有权限制的范围内适用。

第六条　禁止二次训练、模型融合及衍生模型制作

未经本 LoRA 作者事先明确书面许可，在适用上游许可证允许作者对其自有权利部分施加该等限制的最大范围内，使用者不得以本 LoRA 的全部或者部分模型参数、权重变化、推理结果或者其他能够实质复制本 LoRA 学习成果的数据作为训练来源、训练基础或者模型组成部分，从事进一步的 LoRA 训练、继续训练、微调、蒸馏、模型融合、权重合并、权重提取、权重转换、差分提取、适配器合并、模型移植或者其他以生成新的模型、LoRA、Embedding、Checkpoint、Adapter 或具有类似功能的机器学习权重为目的的行为。

使用者不得以改变文件格式、降低精度、量化、剪枝、权重重映射、参数转换或者其他技术处理作为规避本条限制的手段；仅为了使本 LoRA 在不同兼容推理软件中运行而进行的不改变其模型功能、训练结果或者权利归属的必要技术转换，如该行为同时符合所有适用上游许可证且不向第三方分发，可以由使用者在个人非商业范围内实施。

本条不得被解释为限制任何人独立使用原始 Anima 模型或者 CircleStone Labs LLC 自行制作并依法发布的其他模型进行其上游许可证所允许的训练、研究或者衍生开发活动，本条针对的是以本 LoRA 作者发布的具体权重及其依法享有权利的成果作为继续训练、融合或者衍生开发对象的行为。

第七条　违法、有害及敏感内容使用限制

使用者不得利用本 LoRA 从事任何违反其所在地、生成行为发生地、发布地或者相关服务适用地区之法律、行政法规、监管规定、司法命令或者其他具有法律约束力要求的活动，并应自行确保其输入内容、提示词、参考图片、生成过程、生成结果、保存行为、传播行为以及后续利用行为均符合全部适用法律法规及第三方合法权利。

除法律法规已经禁止的内容之外，作为本 LoRA 作者设置的独立使用范围限制，无论有关内容在特定司法管辖区是否当然构成违法内容，均不得使用本 LoRA故意生成、强化、传播或者协助制作露骨色情内容、以性刺激为主要目的的裸体或者性行为内容、涉及未成年人的任何色情或者性化内容、非自愿亲密影像、政治宣传、选举操纵、针对政治人物实施具有误导性的身份仿冒或者虚假影像制作、煽动政治暴力或者仇恨的内容、具有明显血腥或者残酷表现的暴力内容、宣扬恐怖主义或者极端主义的内容、鼓励自杀或者严重自残的内容、用于诈骗、诽谤、骚扰、威胁、勒索或者侵犯他人隐私的内容，以及其他根据通常社会标准具有明显违法、有害或者高度敏感性质并可能对个人或者社会造成现实损害的内容。

使用者不得利用本 LoRA 制作儿童性虐待材料，不得制作或者传播未经当事人同意的色情或者亲密影像，不得利用真实人物的姓名、肖像、声音、身份或者其他人格特征制作旨在欺骗公众或者侵害相关个人合法权益的虚假内容，并不得以艺术创作、研究、戏仿、技术测试或者其他名义作为规避本条明确禁止事项的理由。

第八条　第三方权利及使用者责任

本 LoRA 作者并不因提供本 LoRA 而向使用者授予任何属于第三方的著作权、商标权、肖像权、姓名权、隐私权、角色形象权、数据库权、专利权或者其他知识产权及人格权，使用者应当自行判断并确保其提示词、输入资料、参考图像以及生成和传播的内容不会侵犯任何第三方合法权利。

因使用者违反适用法律、本许可证、CircleStone Labs Non-Commercial License v1.2、其他适用上游许可证或者第三方合法权利而产生的投诉、索赔、行政调查、诉讼、损失或者其他法律责任，应当由实施相关行为的使用者按照适用法律自行承担，本 LoRA 作者不因使用者未经授权或者违反许可证的行为而承担相应责任。

第九条　署名、来源及禁止虚假关联

任何依法允许的本 LoRA 再分发行为均必须完整保留作者名称、原始模型名称、版权信息、本许可证、适用的 CircleStone Labs Non-Commercial License v1.2 及其要求提供的 Attribution Notice，不得删除、隐藏、篡改或者以具有误导性的方式修改上述信息。

任何人不得宣称或者暗示本 LoRA 属于 CircleStone Labs LLC、NVIDIA 或其他上游模型权利人官方制作、认证、批准或者推荐的产品，也不得冒用本 LoRA 作者身份发布修改版本或者通过故意删除来源信息使第三方误认为有关模型属于其原创作品。

与上游许可证要求相一致，本 LoRA 的发布页面或者随附 Notice 文件中还应当明确载明，本 LoRA 是基于适用的 CircleStone Model 创建的修改版本或者衍生模型，并应当同时保留 CircleStone Labs Non-Commercial License v1.2 第 3(b) 条要求的完整官方 Attribution Notice。

第十条　许可证终止

如使用者违反本许可证中的任何实质性条款，则本 LoRA 作者在适用法律允许的范围内授予该使用者的许可应当立即终止，使用者应停止继续使用、复制、传播、托管或者以其他方式利用本 LoRA，并应删除其控制范围内依据本许可证已经无权继续持有的本 LoRA 副本，但适用法律或者具有优先效力的上游许可证明确规定不得由本 LoRA 作者终止的权利不受本条影响。

许可证终止不影响终止前已经产生的侵权责任、合同责任或者其他依法应当继续承担的责任，本许可证中依其性质应当在终止后继续有效的责任限制、免责声明、知识产权、上游许可证优先、争议处理以及其他相关规定亦应继续有效。

第十一条　无保证声明

本 LoRA 按其现状以及现有条件提供，在适用法律允许的最大范围内，本 LoRA 作者不就本 LoRA 的准确性、稳定性、兼容性、安全性、适销性、特定用途适用性、不侵权性、生成质量、持续可用性或者能够产生任何特定结果作出任何明示、默示、法定或者其他形式的保证，并且不保证本 LoRA 不包含错误、缺陷或者可能导致软件、硬件、数据或者生成结果异常的问题。

CircleStone Labs LLC 以及其他上游权利人针对 Anima 和相关材料所作出的免责声明、责任限制以及其他保护性规定按照其各自许可证继续独立有效，本许可证不得被解释为缩小、取消或者减弱上述免责声明或者责任限制。

第十二条　责任限制

在适用法律允许的最大范围内，本 LoRA 作者不对使用者或者任何第三方因下载、安装、运行、无法运行、错误运行、生成、发布、传播或者以其他方式使用本 LoRA 所产生的间接损失、附带损失、特殊损失、惩罚性损失、后果性损失、数据损失、利润损失、业务中断、声誉损失或者其他类似损害承担责任，即使本 LoRA 作者事先已经被告知发生有关损害的可能性亦同。

The foregoing license is personal to you, and you may not assign or sublicense this License or any other rights or obligations under this License without Company’s prior written consent; any such assignment or sublicense will be void and will automatically and immediately terminate this License.  Any restrictions set forth herein regarding the CircleStone Model also apply to any Derivative you create or that are created on your behalf.
- b. Non-Commercial Use Only.  You may only access, use, Distribute, or create Derivatives of the CircleStone Model or Derivatives for Non-Commercial Purposes, unless otherwise expressly granted by this License. - a. use, modify, copy, reproduce, create Derivatives of, or Distribute the CircleStone Model (or any Derivative thereof, or any data produced by the CircleStone Model), in whole or in part, (i) for any commercial or production purposes (with the exception that Outputs may be used commercially as per 2(d)), (ii) in any manner that infringes, misappropriates, or otherwise violates (or is likely to infringe, misappropriate, or otherwise violate) any third party’s legal rights, including rights of publicity or “digital replica” rights, (iii) in any unlawful, fraudulent, defamatory, or abusive activity, (iv) to generate unlawful content, including child sexual abuse material, or non-consensual intimate images; or (v) in any manner that violates any applicable laws, rules, regulations, directives, or governmental requirements;

6. LIMITATION OF LIABILITY. 8. Termination; Survival.
